1. Acceptance of Terms
By accessing or using Gridless Map (“Gridless,” “we,” “us,” or “our”), you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, please do not use our platform.
2. Description of Service
Gridless is a social adventure mapping platform that allows users to share location-based content, connect with other adventurers, and discover remote lodges, outfitters, and guides. We offer paid memberships and business listings as described on our site.
3. Accounts and Registration
You must be at least 18 years old to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate and complete information during registration and to keep that information up to date.
4. Memberships and Listings
Gridless offers the following paid services:
- Explorer Membership — a personal subscription granting enhanced access to platform features.
- Lodge & Outfitter Listing — a business subscription for lodges, outfitters, and guides to create a verified listing on the map.
- Featured Lodge Listing — a premium business subscription with enhanced visibility and placement.
All subscriptions are billed in advance on a recurring basis. Fees are non-refundable except as required by law or as explicitly stated in our Cancellation and Refund Policy below.
5. Payment Terms and Automatic Renewal
Payments are processed through Stripe. By subscribing, you authorize us to charge your payment method for the subscription fee plus any applicable taxes. All subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You will be charged the then-current subscription fee upon renewal.
If a payment fails, we may suspend your subscription until the payment is successfully processed. You are responsible for ensuring your payment information is current and accurate.
6. Cancellation and Refund Policy
You may cancel your subscription at any time through your account settings or by contacting us. Cancellation takes effect at the end of the current billing period, and you will retain access until then. We do not provide prorated refunds for partial billing periods unless required by law.
If you believe you are entitled to a refund, please contact us within 14 days of the charge. Refund requests are evaluated on a case-by-case basis. We reserve the right to deny refund requests that abuse our policies.
7. User Content Ownership and Licensing
You retain ownership of all content you post on Gridless, including photos, videos, text, and location data (“User Content”). By posting User Content, you grant Gridless a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, display, reproduce, modify, and distribute your User Content solely for the purpose of operating and promoting the platform.
You represent that you own or have the necessary rights to all User Content you post, and that your content does not infringe the rights of any third party.
8. Acceptable Use Policy
You agree not to use Gridless to:
- Post illegal, harmful, threatening, abusive, harassing, defamatory, or discriminatory content.
- Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
- Upload viruses, malware, or other harmful code.
- Scrape, crawl, or use automated means to access the platform without authorization.
- Use the platform for commercial solicitation or spam without authorization.
- Interfere with the security or integrity of the platform or its users.
Violation of this policy may result in immediate account termination and, where appropriate, referral to law enforcement.
9. User-Generated Content Moderation
We reserve the right, but not the obligation, to review, monitor, and remove User Content that violates these Terms or is otherwise objectionable. We may also suspend or terminate accounts that repeatedly violate our policies. We are not responsible for the accuracy, completeness, or legality of User Content.
10. Account Termination
We may suspend or terminate your account at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to other users or the platform. Upon termination, your right to use Gridless immediately ceases. Provisions that by their nature should survive termination will survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
11. Third-Party Services
Gridless uses third-party services to operate the platform:
- Stripe — for payment processing. Your payment information is handled by Stripe subject to their terms and privacy policy.
- Supabase — for database hosting, authentication, and storage. Data is stored and processed by Supabase subject to their terms and privacy policy.
We are not responsible for the practices or content of these third-party services.
12. Disclaimers and Limitation of Liability
Gridless is provided on an “as is” and “as available” basis without warranties of any kind, either express or implied. We do not warrant that the platform will be uninterrupted, secure, or error-free.
To the fullest extent permitted by law, Gridless and its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits or data, arising out of or relating to your use of the platform.
Our total liability to you for any claim arising out of these Terms or your use of Gridless shall not exceed the amount you paid to us in the 12 months preceding the claim, or $100 if you made no payments.
13. Indemnification
You agree to indemnify and hold harmless Gridless and its affiliates, officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of your User Content, your use of the platform, or your violation of these Terms.
14. Dispute Resolution and Governing Law
These Terms are governed by the laws of the State of Georgia, USA, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or your use of Gridless shall be resolved exclusively in the state or federal courts located in Georgia. You consent to the personal jurisdiction of such courts.
Before filing any claim, you agree to attempt to resolve the dispute informally by contacting us. If we are unable to resolve the dispute within 30 days, either party may pursue formal legal remedies.
15. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on the platform and updating the “Last updated” date. Your continued use of Gridless after such changes constitutes acceptance of the revised Terms.
